1. Agreement to Terms

By accessing our website, submitting an inquiry, placing an order, or engaging with Ultimate Floors (“Company,” “we,” “us,” or “our”) in any capacity, you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

Ultimate Floors reserves the right to update or modify these Terms and Conditions at any time. Continued use of our website or services following notice of changes constitutes acceptance of the updated terms.


2. Business-to-Business Services Only

Ultimate Floors operates exclusively as a business-to-business (B2B) flooring distributor. Our products and services are available only to authorized dealers, contractors, builders, designers, architects, and other licensed trade professionals. We are not open to the general public.

3. Eligibility

By using our services, you represent and warrant that:

  • You are at least 18 years of age
  • You are a licensed business entity or authorized trade professional
  • You have the legal authority to enter into this agreement on behalf of yourself or your organization
  • You will use our products and services only for lawful business purposes
  • All information you provide to us is accurate, current, and complete

4. SMS / Text Messaging Terms

4a. Program Description

Ultimate Floors operates an SMS messaging program (the “Program”) to communicate with authorized dealers, trade partners, and qualified business contacts. The Program is operated under the name Ultimate Floors and may include the following types of messages:

  • Order confirmations and shipping updates
  • Warranty claim status notifications
  • Product availability alerts and restocking notices
  • New product announcements and promotional offers
  • Dealer support follow-ups and account communications

4b. Explicit Consent to Receive SMS Messages

You will only receive SMS messages from Ultimate Floors if you have provided express written consent through an affirmative opt-in action. Acceptable opt-in methods include:

  • Completing and submitting a web form with an SMS consent checkbox
  • Submitting a signed dealer or trade partner application that includes SMS consent language
  • Responding affirmatively to an explicit opt-in request sent via SMS

Consent is never implied. Pre-checked boxes are never used for SMS consent. Opting in to receive SMS messages is never a condition of purchasing any product or service from Ultimate Floors.

4c. Message Frequency

Message frequency will vary based on your account activity and preferences. You may receive up to 4 marketing messages per month. Transactional messages, such as order confirmations and shipping updates, may be sent as needed based on account activity and are not subject to the monthly marketing limit.

4d. Message and Data Rates

Message and data rates may apply. Charges are determined by your mobile carrier and plan. Ultimate Floors is not responsible for any charges incurred from your carrier as a result of receiving SMS messages from our Program. Contact your mobile carrier for details regarding your plan.

4e. How to Opt Out

You may opt out of the Ultimate Floors SMS Program at any time by replying with any of the following keywords to any text message you receive from us:

STOP, CANCEL, UNSUBSCRIBE, QUIT, or END

Upon receipt of any opt-out keyword, you will receive one final confirmation message acknowledging that you have been successfully unsubscribed. No further SMS messages will be sent to your number following that confirmation, except as required by law. Your opt-out request will be processed within a reasonable timeframe not to exceed 10 business days.

4f. How to Opt Back In (Rejoining the Program)

If you have previously opted out and wish to begin receiving SMS messages from Ultimate Floors again, you may re-enroll at any time by:

  • Replying START to any prior message from Ultimate Floors
  • Submitting a new opt-in request through our website
  • Contacting us directly at info@ultimatefloors.net or 346-637-3104 to request re-enrollment

By opting back in, you acknowledge and agree to resume receiving the types of messages described in Section 4a, subject to the same frequency, rates, and terms disclosed at the time of re-enrollment. Re-enrollment constitutes a new instance of express written consent.

4h. Prohibited Use of SMS Program

You agree not to use any contact information or communication channels provided through the Ultimate Floors SMS Program for any of the following:

  • Sending unsolicited commercial messages to third parties
  • Harassment, abuse, or threatening communications
  • Transmission of illegal, fraudulent, or deceptive content
  • Content related to hate speech, illicit goods, controlled substances, or explicit material
  • Any activity that violates applicable federal, state, or local law
  • Any activity that violates CTIA Messaging Principles and Best Practices or carrier acceptable use policies

Ultimate Floors reserves the right to immediately terminate SMS messaging services to any party found to be in violation of this section.

4i. Carrier Disclaimer

Ultimate Floors is not responsible for delayed or undelivered messages. Carriers are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to network availability and effective transmission from your mobile carrier. Message delivery is not guaranteed.

4j. No Sharing of SMS Data

Ultimate Floors does not sell, rent, share, or transfer your mobile phone number or SMS opt-in consent data to any third party or affiliate for independent marketing or promotional purposes. Mobile information may be shared with subcontractors who provide essential operational support to the Program — such as SMS platform providers — solely for the purpose of delivering the service. These subcontractors are contractually prohibited from using your information for any independent purpose.


5. Products and Orders

5a. Product Availability

All products are subject to availability. Ultimate Floors makes reasonable efforts to maintain accurate inventory information but does not guarantee that any specific product will be available at the time of your order. We reserve the right to discontinue any product line at any time with reasonable notice to active dealer partners.

5b. Pricing

All pricing is subject to change without notice. Prices quoted at the time of order confirmation are binding for that transaction. Ultimate Floors reserves the right to correct pricing errors at any time prior to order fulfillment.

5c. Orders and Fulfillment

Orders are subject to acceptance by Ultimate Floors. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, pricing errors, or suspected fraudulent activity. You will be notified promptly if your order cannot be fulfilled.

5d. Minimum Order Requirements

Minimum order quantities may apply to certain product categories and pricing tiers. Specific minimums will be communicated at the time of account setup or product inquiry.

5e. Shipping and Delivery

Shipping timelines are estimates and are not guaranteed. Ultimate Floors is not liable for delays caused by carriers, weather, supply chain disruptions, or other factors beyond our reasonable control. Risk of loss transfers to the buyer upon delivery to the carrier.


6. Warranties

Ultimate Floors offers industry-leading warranties on its product lines. Specific warranty terms vary by product category and will be provided in writing at the time of purchase. Warranty documentation is available upon request and through our website.

Warranties are extended to the original purchasing dealer and, where applicable, to the end consumer through the dealer. Warranty claims must be submitted in accordance with the procedures outlined in the applicable warranty documentation. Ultimate Floors reserves the right to repair, replace, or credit products found to be defective under the terms of the applicable warranty.

Warranties do not cover damage resulting from improper installation, misuse, neglect, modification, or use inconsistent with product specifications and installation guidelines.


7. Intellectual Property

All content on the Ultimate Floors website and in our marketing materials — including but not limited to product names, logos, trademarks, photography, product descriptions, specification sheets, and installation guides — is the property of Ultimate Floors or its licensors and is protected by applicable intellectual property laws.

Authorized dealers may use Ultimate Floors product imagery, descriptions, and documentation solely for the purpose of marketing and selling Ultimate Floors products to end consumers. Any other reproduction, distribution, or commercial use of our intellectual property without express written permission is strictly prohibited.


8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ULTIMATE FLOORS PROVIDES ITS WEBSITE AND NON-PRODUCT SERVICES “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.


9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ULTIMATE FLOORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITE, PRODUCTS, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ULTIMATE FLOORS IN THE THREE MONTHS PRECEDING THE CLAIM.


10. Indemnification

You agree to indemnify, defend, and hold harmless Ultimate Floors and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys’ fees — arising out of or related to your use of our services, your violation of these Terms and Conditions, or your violation of any applicable law or third-party right.


11. Compliance with Industry Standards

Ultimate Floors’ SMS messaging program and all business operations are conducted in compliance with applicable industry standards, including:

  • CTIA Messaging Principles and Best Practices
  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • 10DLC (10-Digit Long Code) A2P Registration Requirements
  • Applicable carrier acceptable use policies

Both Ultimate Floors and its trade partners are expected to engage with our services in a manner consistent with these standards. Ultimate Floors reserves the right to suspend or terminate services to any party whose conduct is inconsistent with these requirements.


12. Legal Compliance

Ultimate Floors operates in full compliance with all applicable federal, state, and local laws. You agree to use our products, services, and communications channels only for lawful purposes. You may not use any service provided by Ultimate Floors to engage in any activity that:

  • Violates any applicable law or regulation
  • Infringes upon the rights of any third party
  • Is fraudulent, deceptive, or misleading
  • Involves the transmission of unsolicited commercial messages
  • Facilitates illegal discrimination, harassment, or harm of any kind

Ultimate Floors reserves the right to report suspected illegal activity to appropriate law enforcement authorities and to cooperate fully with any investigation.


13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas. You consent to personal jurisdiction in such courts.


14. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the enforceability of the remaining provisions.


15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Ultimate Floors with respect to your use of our website and services, and supersede all prior agreements, representations, and understandings.
